Terms of service

1. Acceptance

These terms form a binding agreement between MLJ, SASU, a French simplified joint stock company with share capital of 500.00 euros, registered under SIREN 934 769 837, and the business that subscribes to NannyMatchDesk. By creating an account, by paying a subscription invoice or by using the service in any way, you accept these terms on behalf of your agency and confirm that you have authority to do so. If you do not accept them, do not use the service. A signed order form or a negotiated addendum, where one exists, takes precedence over these terms on the points it covers.

2. The service

NannyMatchDesk is a hosted software service for nanny and household staffing agencies. It provides a candidate pipeline, a reference call log, background check tracking, family intake and requirement matching, document and expiry tracking, placement contract generation with signature status, a compliance calendar and desk reporting. The service is delivered through a web browser and requires an internet connection. We may add, change or retire individual features to improve the product, and we will give at least thirty days notice by email before removing a feature that your agency actively uses.

3. Accounts and eligibility

You must be a business, at least eighteen years old, and legally able to enter into a contract. You are responsible for the accuracy of the account details you provide, for the confidentiality of your credentials, and for everything done under your account by your consultants and staff. Seats are personal to a named user and may not be shared between people. Tell us promptly at jimenezjulien42@gmail.com if you believe an account has been used without authorization.

4. Acceptable use

You agree to use the service only for lawful placement and staffing activity, and to hold a lawful basis for every record you store about a candidate, a family or a member of your staff. You agree not to attempt to gain unauthorized access to the service or to another customer's data, not to reverse engineer or copy the software, not to resell or sublicense access, not to load malicious code, and not to use the service to send unsolicited bulk messages. You agree not to store payment card numbers, social security numbers or full background check reports in free text fields, and to comply with the Fair Credit Reporting Act and applicable state law when you order and use background screening.

5. Subscription and billing

Plans are Solo Agency at $59 per month, Agency at $129 per month and Multi City at $259 per month, quoted and charged in United States dollars, exclusive of any sales tax or VAT that may apply. Subscriptions are billed monthly in advance on the calendar day you subscribed. Seat limits are five for Agency and fifteen for Multi City, and adding seats mid month is prorated on the following invoice. Prices may change with at least sixty days notice by email, and a price change never applies to a period you have already paid for.

6. Cancellation and refunds

You may cancel at any time from your account settings, with no notice period and no cancellation fee. Cancellation takes effect at the end of the month you have already paid for, and the service remains fully available until then. We do not refund part months. If we terminate your subscription for a reason other than a breach of these terms, we refund the unused portion of the current month on a pro rata basis. We may suspend or terminate an account for non payment after two written reminders, or immediately for a serious breach of section 4.

7. Your data

Your candidate records, family records, notes, documents and contracts remain yours. We claim no ownership over them and we do not use them to train models, to build benchmark products that identify you, or for any purpose other than operating the service for you. We process them as your processor on your documented instructions. You may export the full contents of your desk in CSV format at any time, and after cancellation your data stays available for export for thirty days before permanent deletion. Aggregate performance statistics published by us are drawn only from agencies that have given written permission and are never attributed to a named agency without consent.

8. Availability and support

We aim for monthly availability of 99.9 percent, excluding planned maintenance announced at least forty eight hours in advance and events outside our reasonable control. Support is provided by email at jimenezjulien42@gmail.com during French business days, with a normal response time of one business day. We keep encrypted backups and can restore your desk to a point within the previous thirty days if data is lost through a fault on our side.

9. Warranty disclaimer

The service is provided on an as available basis. Beyond the commitments written in these terms, we make no warranty that the service will be uninterrupted, error free, or fit for a particular purpose, and we make no warranty about the outcome of any placement. Matching and ranking features are decision support tools. They do not vet a candidate, they do not verify a document, and they do not replace the reference checks, background screening and professional judgment that remain your responsibility as the placing agency.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to these terms in any twelve month period is limited to the amount you paid us for the service during that period. We are not liable for indirect or consequential loss, including lost placement fees, lost clients, lost profits, loss of reputation or the cost of substitute services. Nothing in these terms limits liability for fraud, for gross negligence, for death or personal injury caused by negligence, or for any other liability that cannot be limited under French law.

11. Indemnity

You agree to indemnify MLJ, SASU against third party claims, damages and reasonable legal costs arising from your use of the service in breach of these terms, from the content you store in it, or from your placement activity, including any claim by a candidate, a family or an employee relating to a placement you made.

12. Changes to these terms

We may update these terms to reflect changes to the service or to the law. We will give at least thirty days notice by email before a material change takes effect. If you do not accept a change, you may cancel before it takes effect and we will refund any prepaid period that follows the change date. Continued use after the effective date means you accept the updated terms.

13. Governing law and contact

These terms are governed by French law. Any dispute that cannot be settled amicably within sixty days will be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
